Terms and conditions of use of the WB@pi ap.wb.krakow.pl application for customer service, transferring documents, ordering services and sending information.

Definitions:

Virtual office Krakow - a service provided on the basis of a contract, delegating part of the business activities and enabling access to a specified address under the terms and conditions specified in the contract

Office system – an online IT system for sending, collecting and downloading documents and contacting the office.

Statute - this document defining the rules for using the web application.

Application - also called WB@pi application - available at ap.wb.krakow.pl - means a system belonging to a business entity JocArd A limited liability company with its registered office in Kraków, ul. św. Filipa 23/4, 31-150 Kraków, registered in the register of entrepreneurs maintained by the District Court for KRAKÓW-ŚRÓDMIEŚCIE in Kraków, 11th Commercial Division of the National Court Register under number 0001013028, Tax Identification Number (NIP) 6762633942, share capital PLN 5 000, Tax Identification Number (NIP): 6762633942, being the owner and administrator of the office system.

Client - an entity using virtual office services, having access to documents sent via the application

Administrator - the entity that owns WB@pi available at ap.wb.krakow.pl, providing services specified in the application, maintaining and improving it

Additional services – means the services provided by the Administrator to the Client in connection with the contract and access to the application, i.e. access to correspondence, files, scans, e-documentation, invoices and data.

Order - an order to provide services for the Client's own use, as defined in the process defined in the application. An order is a collection of one or more services.

Acceptance - means that the Administrator accepts the order specified in the Application for execution.

Service Provider - an entity that provides additional services for office operations.

Intermediate Pages - websites and IT services using the online office application WB@pi ap.wb.krakow.pl, to which they direct the client via appropriate redirects.

Application user - a person who has access to the application granted by the Administrator or the Client using secure methods specified within the application

Invoice – an invoice issued in accordance with applicable tax law. In the case of invoices covered by the National e-Invoice System (KSeF), the invoice is a structured invoice issued using the KSeF and bearing an identifying number in that system.

KSeF – National e-Invoice System, i.e. an IT system for issuing, receiving and storing invoices structured in accordance with applicable law.

Invoice visualization / Payment information – an electronic document, in particular a PDF file, email message, or presentation of data in the Application, provided to the Client for informational, organizational, or payment purposes. Such a document does not constitute a separate invoice if the relevant invoice was issued in KSeF.

Although all clauses contained in this agreement are standard clauses for software products, you are advised to read them in full.

§ 1 General rules

  1. The conditions for using the WB@pi Application by Users and Customers are:

    1. having the status of a natural person in accordance with the Polish Civil Code,

    2. turning 13 years old,

    3. having a Device with Internet access and a web browser with the recommended security rules installed,

    4. registration and logging in as a User in the Application in accordance with the procedure described later in the Regulations.

  2. These regulations define the rules for the provision and use of the Application available at www.wb.krakow.pl.

  3. The Regulations apply to Customers and users of the application.

  4. The application may be made available only for the purpose of accessing the services provided by wb.krakow.pl and related to the agreement concluded with the Virtual Office Kraków.

  5. The User may not rent or lend his/her account to third parties.

  6. Using the WB@pi Application via the Internet on a Mobile Device and using the WB@pi Application is associated with the use of data transmission (Internet) at the rates of the telecommunications network operator whose services the User uses.

§ 2 Rules for using the application  

This End User License Agreement ("EULA") is an agreement between you and wb.krakow.pl (hereinafter referred to as the "Administrator") with respect to the wb.krakow.pl web application (hereinafter referred to as the "Office Service" or "Application"). By using the WB@pi Application, you agree to the terms of this license agreement.

Your use of the WB@pi Application (as defined below) is subject to the terms and conditions set forth in this EULA. If you do not accept the terms of this EULA, do not install or use the WB@pi Application.

  1. LICENSE. The Software is licensed, not sold. The Owner grants you a non-exclusive, non-transferable, non-sublicensable, limited right and license to use one instance of the Web Application for your personal, non-commercial use on Internet-enabled devices. The rights granted herein are conditioned on your compliance with this EULA. The Software is licensed to you, and you hereby acknowledge that no title or ownership in the WB@pi Application is transferred or assigned to you, and this EULA shall not be construed as a sale of any rights in the WB@pi Application.
  2. USE RESTRICTIONS. Unless the Owner authorizes you to distribute the App, you may not make or distribute copies of the App or transfer the WB@pi App from one device to another. You may not decompile, reverse engineer, disassemble, incorporate into another WB@pi App, translate the App, or use the App for any commercial purposes. You may not modify, alter, alter, or otherwise alter the App or create derivative works based on the App. You may not rent, lease, resell, sublicense, assign, distribute, or otherwise transfer the App or this license. Any attempt to do so will be void and of no effect.
  3. COPYRIGHT. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights in the Application will remain the exclusive property of ARCHEION Aleksander Kulesza-Milewski, and you will not acquire any rights in the Application. You will not remove or obscure any copyright, trademark, or other proprietary notices of the Owner from any materials contained in this package or downloaded with the Software.
  4. DISCLAIMER OF WARRANTIES. The Application is provided "AS IS" without warranty of any kind. We disclaim and make no warranties, express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement of third party rights. The entire risk as to the quality and performance of the Application remains with you. We do not guarantee that the functions contained in the Web Application will meet your requirements or that the operation of the Application will be error-free.
  5. LIMITATION OF LIABILITY. In no event shall the Owner be liable for any special, incidental, or consequential damages resulting from possession, access, use, or malfunction of the Application, including, but not limited to, property damage, loss of goodwill, computer or mobile device failure, and, to the extent permitted by law, damages for personal injury, property damage, lost profits, or punitive damages under any cause of action arising out of or relating to this EULA or the Application, whether based on tort (including negligence), contract, strict liability, or otherwise, and whether or not the Owner has been advised of the possibility of such damages. Because some states/countries do not allow certain limitations of liability, this limitation of liability will apply to the fullest extent permitted by the law of the applicable jurisdiction. This limitation of liability will not apply solely to the extent that any specific provision of this limitation of liability is prohibited by any federal, state, or municipal law that cannot be preempted. This EULA gives you specific legal rights, and you may also have other rights which vary from jurisdiction to jurisdiction. In no event will the Owner's liability for any damages (except as required by applicable law) exceed the actual price paid by you for using the Application.
  6. PRIVACY AND ADVERTISING. You can find our Privacy Policy on our website or in our application. It is recommended that you read it in its entirety.
  7. INDEMNIFICATION. You agree to indemnify, defend and hold harmless the Owner from and against any and all damages, losses and expenses arising directly or indirectly from: (i) your acts and omissions in using the Application in accordance with the terms of the EULA; or (ii) your breach of this EULA.
  8. CHANGES. We reserve the right, at our sole discretion, to change or replace these terms at any time. Any changes we may make to our privacy policy in the future will be posted on this page. You should check this page occasionally to take notice of any changes.

§ 3 Invoices, KSeF and information documents

  1. Where applicable law requires an invoice to be issued using KSeF, the relevant invoice is deemed to be a structured invoice issued and sent to KSeF.
  2. The Administrator may additionally provide the Client with an invoice visualization, payment information, billing information, or other supporting documents, particularly in the form of a PDF file or email. These documents are for informational and supporting purposes.
  3. Providing the Client with a visualization of an invoice, payment information or other supporting document does not constitute a separate issuance of an invoice if the invoice was issued in KSeF.
  4. Documents marked as pro forma, payment request, payment information or documents of a similar nature do not constitute an invoice within the meaning of tax law.
  5. In cases provided for by law, corrections to data or settlements are made by issuing a corrective invoice. The Administrator may use separate technical processes in the Application for different types of corrections; however, a document compliant with applicable regulations is used for the Client and for accounting purposes.

§ 4 Final provisions.

  1. The WB@pi application and the Administrator are not responsible for the quality of materials presented and used during the use of the office system.

  2. All data provided during the use of the Office System is confidential and protected and will not be transferred to third parties.

  3. Entities using the Office System consent to the transfer of data and information necessary to conclude a contract.

The Administrator reserves the right to amend the current Terms and Conditions. All changes are made on an ongoing basis and published in the Application at ap.wb.krakow.pl and on intermediate pages in the "Regulations" tab.
